These Terms of Service (the “Terms”) govern your access to and use of the website at thebornchef.com and the wholesale customer portal at portal.thebornchef.com (together, the “Services”) provided by Born Chef International Cuisine (“Born Chef,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
License to use the portal
Subject to these Terms, Born Chef grants approved wholesale customers a limited, non-exclusive, non-transferable, revocable license to access and use the portal solely for managing their wholesale business relationship with Born Chef. You may not copy, modify, resell, reverse engineer, or use the Services except as expressly permitted here.
Accounts and security
- Access to the portal is by invitation for approved wholesale accounts. You are responsible for keeping your sign-in credentials secure and for all activity under your account.
- Notify us promptly at admin@thebornchef.com if you suspect unauthorized use of your account.
Acceptable use
You agree not to misuse the Services, including by attempting to gain unauthorized access, disrupting the Services, uploading unlawful or infringing content, or using the Services in violation of applicable law.
Orders and pricing
Orders placed through the portal are requests to purchase and are subject to acceptance, confirmation, and availability by Born Chef. Pricing, delivery terms, and product availability may change and are governed by your wholesale arrangement with Born Chef.
Third-party services
The Services integrate with third-party providers, including Intuit QuickBooks Online for invoicing and accounting. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.
Intellectual property
The Services, including their content, branding, and software, are owned by Born Chef or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer any ownership rights to you.
Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
Limitation of liability
To the fullest extent permitted by law, Born Chef will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amounts you paid to Born Chef for the transaction giving rise to the claim.
Termination
We may suspend or terminate access to the Services at any time if you violate these Terms or to protect the Services or other users. You may stop using the Services at any time.
Governing law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in California.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of the Services after a change constitutes acceptance of the updated Terms.
